Terms of Service

1. Definitions

“Account” means the account you create to access the Service.

“Company Data” means all data uploaded, entered, or generated within your account, including but not limited to software license information, contract details, vendor data, user information, and usage analytics.

“Authorized Users” means individuals authorized by you to access the Service under your account, including administrators, managers, HR personnel, and employees as defined by your subscription.

“Subscription Plan” means the specific tier of service you have selected (Starter, Pro, or Enterprise), each with defined features and usage limits.

2. Account Registration and Eligibility

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old and have the legal capacity to enter into these Terms. You agree to promptly notify us of any unauthorized use of your account.

3. Subscription Plans and Payment

3.1 Free Trial

LicenseIQ offers a free 14-day trial of the Service. During the trial period, you will have access to the full feature set of the Pro plan. No credit card is required to start a trial. At the end of the trial period, your access will be restricted to read-only mode unless you subscribe to a paid plan.

3.2 Paid Subscriptions

Paid subscriptions are billed monthly or annually, as selected at the time of purchase. Subscription fees are based on the number of employees in your organization as reported during signup. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

3.3 Payment Terms

Payment is processed through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your designated payment method on a recurring basis. You are responsible for keeping your payment information current. Failed payments may result in suspension of your access to the Service.

3.4 Price Changes

We may change our subscription fees upon 30 days’ prior written notice. Fee changes will take effect at the start of your next billing cycle following the notice period.

4. Acceptable Use

You agree to use the Service only for its intended purpose of software license management and optimization. You agree not to:

1. Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
2. Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
3. Reverse engineer, decompile, or disassemble any portion of the Service.
4. Use the Service to transmit malware, viruses, or other harmful code.
5. Resell, sublicense, or otherwise make the Service available to third parties without our prior written consent.
6. Use automated means (bots, scrapers, crawlers) to access the Service except through our published API.
7. Interfere with or disrupt the integrity or performance of the Service.

5. Data Ownership and License

5.1 Your Data

You retain all ownership rights to your Company Data. We do not claim ownership of any data you upload or enter into the Service. You grant LicenseIQ a limited, non-exclusive license to use, process, and store your Company Data solely for the purpose of providing and improving the Service.

5.2 Our Intellectual Property

The Service, including all software, algorithms, AI models, user interfaces, designs, documentation, and underlying technology, is the exclusive property of LicenseIQ, Inc. and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term.

5.3 AI-Generated Insights

LicenseIQ uses artificial intelligence to analyze your Company Data and generate recommendations, cost analyses, and optimization insights. These AI-generated outputs are provided as informational guidance and do not constitute professional financial, legal, or business advice. You are solely responsible for decisions made based on AI-generated recommendations.

6. Data Security and Privacy

We implement industry-standard security measures to protect your Company Data, including encryption at rest and in transit, multi-tenant isolation through Row-Level Security, role-based access controls, and comprehensive audit logging. Our full data handling practices are described in our Privacy Policy. We maintain SOC 2 and GDPR compliance controls as detailed in our Security documentation.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, service interruptions, or data delays caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

8. Termination

8.1 By You

You may cancel your subscription at any time through your account settings or by contacting us at support@licenseiq.net. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until your billing period ends.

8.2 By Us

We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay subscription fees after a 15-day grace period, or engage in activity that threatens the security or integrity of the Service. We will make reasonable efforts to notify you before termination except where immediate action is required.

8.3 Data Export

Upon termination, you may request an export of your Company Data within 30 days. After 30 days, we may permanently delete your data in accordance with our data retention policies. Data export is available in standard formats (JSON, CSV) through the platform or by request.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSEIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless LicenseIQ, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Cheyenne, Wyoming. Each party shall bear its own costs. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

12. General Provisions

12.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

12.2 Modifications

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

12.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.4 Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription order, constitute the entire agreement between you and LicenseIQ regarding the Service.
